An Important Part of Company's
Annual Report
Director's Report:
According to Indian Companies Act, all companies
registered in India are required to conduct an Annual General Meeting (AGM) of
company's shareholders and during this meeting, the Board of Director's of the
Company are required to present the Directors Report to the shareholders.This
report is also presented in the Annual Report of the Company and can provide
shareholders with important piece of information about the current state of the
company and its compliance with a set of financial, accounting and corporate
social responsibility standards.
Some of these mandatory disclosures include -
1. Highlights of Financial Performance of the Company.
2. Performance Review and State of Company's Affairs.
3. Business Outlook.
4. Details on number of Board Meetings held during the
Year.
5. Details about Directors / Key Managerial Personnel's
(KMP),appointment and resignation during the year.
6. Details of inter-corporate loans, investments and
guarantees given by the company during the year (if any).
7. Details of all the related party transactions.
8. Details of Subsidiaries, Joint Ventures and Associate
Companies (if any) and report on their performance.
9. Details of Dividend Distribution Policy and Dividend
Declared (if any).
10. Boards' comments and explanations on each and every
qualification, reservation or adverse remarks made by the Statutory Auditor or
Secretarial Auditor in its' report.
11. Details of Risk Management Policy.
12. Details about Corporate Social Responsibilities(CSR)
Activities.
13. Report on Internal Control Systems and their
Adequacy.
14. Details about conservation of energy, technology
absorption and foreign exchange dealing.Most of the details mentioned above are
furnished in detail in separate annexure, which are attached to the directors'
report.Rather than spending more time in reading the text of the directors'
report, as an investor one should concentrate more on reading and analyzing the
details presented in various annexure attached to the Director's Report.
